These Terms of Service ("Terms") govern your access to and use of the products, services, applications, and websites (collectively, "Services") provided by MeStellar Labs Ltd ("MeStellar Labs", "we", "us", or "our"), a company registered in the United Kingdom.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Definitions

"User", "you", or "your" refers to any individual or entity accessing or using the Services. "Application" refers to any software application developed and published by MeStellar Labs, including but not limited to mobile apps, browser extensions, web applications, and desktop software. "Digital Assets" refers to cryptocurrencies, tokens, and other digital assets supported by our Applications. "Content" refers to any text, data, information, images, or other materials provided through the Services.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

Certain Services may require you to create an account or set up credentials such as passwords and recovery phrases. You are solely responsible for maintaining the confidentiality and security of your account credentials, passwords, private keys, and recovery phrases. You agree to notify us immediately of any unauthorized use of your account. MeStellar Labs is not liable for any loss or damage arising from your failure to safeguard your credentials.

4. Our Services

4.1 Software Applications

MeStellar Labs develops and publishes software applications across various platforms including web, mobile (iOS and Android), and browser extensions. These applications are provided on an "as is" and "as available" basis.

4.2 Non-Custodial Wallet Services

Our wallet applications are non-custodial, meaning we do not store, hold, or have access to your private keys, recovery phrases, or digital assets. You are solely responsible for the security and backup of your private keys and recovery phrases. If you lose your private keys or recovery phrases, we cannot recover your digital assets. We do not have the ability to freeze, modify, or reverse any transactions on blockchain networks.

4.3 Technology Solutions and Consulting

We provide software development, IT consultancy, and technology solutions under separate agreements. Such engagements are governed by individual service agreements between MeStellar Labs and the client.

All content, software, designs, trademarks, logos, and other intellectual property associated with the Services are owned by or licensed to MeStellar Labs. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit our intellectual property without our prior written consent. Open-source components within our software are subject to their respective licenses.

7. Third-Party Services

Our Services may integrate with or contain links to third-party services, websites, or applications (including blockchain networks, exchanges, and token issuers). We do not control and are not responsible for the content, privacy practices, or availability of such third-party services. Your use of third-party services is at your own risk and subject to those services' terms and policies.

8. Fees and Payments

Certain features of our Services may be subject to fees. All applicable fees will be clearly disclosed before you incur them. Network transaction fees (such as blockchain gas fees) are determined by the respective network and are not set or controlled by MeStellar Labs. We reserve the right to modify our fee structure with reasonable notice to users.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, MESTELLAR LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MESTELLAR LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, DIGITAL ASSETS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (GBP 100).

You agree to indemnify, defend, and hold harmless MeStellar Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of these Terms and, where appropriate, through in-app notifications or email. Your continued use of the Services after changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimer, limitation of liability, and indemnification provisions. For non-custodial wallet services, termination does not affect your access to your digital assets on the blockchain — you may continue to access them using your private keys with any compatible wallet software.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

15. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms constitute the entire agreement between you and MeStellar Labs regarding the Services and supersede any prior agreements.
